Welcome to Regatta Registers! These Terms of Service("Terms") govern your use of the Regatta Registers software-as-a-service (SaaS) platform, services, software, and website (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

1. Introduction
Regatta Registers Pty Ltd ("Regatta Registers," "we," "us," or"our") provides a cloud-based software-as-a-service (SaaS) platform designed to help industrial businesses manage inspections, standards, compliance workflows, and preventive maintenance (PM)
tasks. These Terms form a legally binding agreement between you and Regatta Registers.
2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. By using the Services, you represent and warrant that you meet these eligibility requirements.
3. Account Registration and Use

To use the Services, you must create an account. You agree to:

- Provide accurate and complete information during registration
- Keep your account credentials secure
- Be responsible for all activities that occur under your account

You must notify us immediately of any unauthorized access or use of your account.
4. Customer Responsibilities

You are responsible for:

- Configuring your environment (e.g., adding your own standards, inspectors, admins,
 employees, items, and preventive maintenance schedules)
- Ensuring your use complies with all applicable laws and regulations
- Retaining your own copies of any critical business data you may need for compliance or operational continuity. Regatta Registers performs regular system-wide backups to support general service continuity, but we do not guarantee the recovery of individual customer data the recovery of individual customer data
5. Fees and Payment

Access to certain features may require payment of subscription fees. Fees and billing terms will be specified at the time of purchase or signup. By purchasing a subscription or other services, you agree to pay all applicable fees. Payments are processed via Stripe or another authorised payment processor.

All fees are non-refundable unless required by law.
You authorise us to charge the applicable fees to your selected payment method.
6. License and Acceptable Use

We grant you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes.

You agree not to:

- Reverse engineer, decompile, or modify the Services
- Resell, sublicense, or exploit the Services
- Use the Services to store or transmit unlawful content
7. Prohibited Conduct

You agree not to:

- Use the Services in violation of any laws
- Interfere with or disrupt the Services or servers
- Attempt to gain unauthorized access to the Services or systems
- Upload viruses, malware, or harmful code
8. Intellectual Property

All rights, title, and interest in and to the Services, including software, trademarks, and content (excluding your own content), remain with Regatta Registers or its licensors.

You retain ownership of your data and content, but grant us a license to use it solely to provide and improve the Services.
9. Privacy

Our collection and use of personal data is governed by our Privacy Policy and Cookie Policy, which are incorporated by reference into these Terms.
10. Data and Content

You are responsible for the accuracy, quality, and legality of any content or data you submit.

We may anonymize or aggregate data for analytics or service improvements, provided that such data does not identify you or your users.
11. Platform Scope and Limitations

11.1 Data Backup and Recovery
Regatta Registers performs regular system-wide data backups(daily and weekly) to support service continuity. However, we do not guarantee the restoration of individual customer data unless otherwise agreed in writing. Customers should retain their own copies of critical data needed for compliance or operational continuity.

11.2 Third-Party Services
The Services may interoperate with third-party platforms. We are not responsible for any third-party products or services and disclaim all liability related to their use.
12. Termination

We may suspend or terminate your access to the Services if you breach these Terms or if required by law.

Upon termination:

- Your right to use the Services ends immediately
- You must cease all use of the Services
- We may delete your account and content, subject to applicable data retention policies
13. Disclaimers and Limitation of Liability

The Services are provided "as is" and "as available" without warranties of any kind.

To the fullest extent permitted by law, we disclaim all warranties and limit our liability for any indirect, incidental, or consequential damages, or loss of data or profits.
14. Indemnification

You agree to indemnify and hold harmless Regatta Registers and its affiliates, officers, and employees from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.
15. Governing Law

These Terms are governed by the laws of New South Wales, Australia, without regard to its conflict of laws principles.

You consent to the exclusive jurisdiction of the courts in New South Wales to resolve any disputes arising out of or relating to these Terms.
16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes, and your continued use of the Services after the changes become effective constitutes acceptance of the updated Terms.
